1. Acceptance and Binding Agreement

This Participant Consent and Liability Waiver ("Waiver") is entered into by the parent or legal guardian ("Parent" or "Guardian") of the student enrolled in the Genixis Virtual AI Explorers Camp ("Camp"), operated by Genixis Consulting, LLC, a Georgia limited liability company ("Genixis," "we," or "us").

By completing enrollment and submitting payment — whether as a lump sum or first installment — the Parent or Guardian represents that they are the legal parent or guardian of the enrolling student, that they have legal authority to enter into this agreement on the student's behalf, that they have read this Waiver in full, and that they agree to all terms set forth herein. This Waiver is binding upon the Parent or Guardian and the enrolled student. If you do not agree to these terms, do not complete enrollment.

This Waiver is governed by the laws of the State of Georgia, United States of America. Any dispute that cannot be resolved directly with Genixis shall be subject to binding arbitration or resolved in a court of competent jurisdiction in Fulton County, Georgia.

2. Program Description and Voluntary Participation

The Genixis Virtual AI Explorers Camp is a live, virtual three-week educational program for students in grades 9 through 12. The Camp is conducted entirely online via Zoom video conferencing and a private online community platform. Sessions run Monday through Friday from 12:30 PM to 3:00 PM Eastern Time. Two sessions are offered: Session 1 runs June 17 through July 7, 2026, and Session 2 runs July 8 through July 28, 2026.

Participation in the Camp is entirely voluntary. The Parent or Guardian confirms that the enrolled student is participating of their own free will and with the Parent or Guardian's full knowledge and consent.

3. Session Recording Consent

By enrolling, the Parent or Guardian consents on behalf of the student to the recording of all live Zoom sessions in which the student participates. Recordings may capture the student's video, audio, screen share activity, and any materials or work the student shares during the session.

Recordings are used for the following purposes only: to provide make-up access for enrolled students who miss a session, for internal instructional quality review by Genixis staff and the Director of AI, and for student review of session content during the program period.

Recordings are stored securely and are accessible only to enrolled students, their parents or guardians, and Genixis staff. Recordings are retained for a maximum of 90 days after the session end date and are then permanently deleted. Genixis will not use session recordings for marketing, advertising, promotional content, or any public-facing purpose without obtaining separate written consent from the Parent or Guardian.

Parents who wish to opt out of recording must notify Genixis in writing at [email protected] before the student's first session. Students who opt out will receive asynchronous make-up materials in lieu of recorded session access.

4. Use of Student Work and Likeness in Marketing

Genixis may wish to share student accomplishments, project outcomes, and success stories as part of its marketing, social media, website content, and promotional materials. This section governs when and how Genixis may do so.

Default — no marketing use without consent. By default, Genixis will not use a student's name, image, likeness, voice, or individually identifiable project work in any public-facing marketing or promotional content without first obtaining separate written consent from the Parent or Guardian.

Optional marketing consent. During the enrollment process, Parents or Guardians are given the opportunity to provide optional written consent authorizing Genixis to feature the student's name, photograph, project title, and general project description in Genixis marketing materials, including but not limited to the Genixis website, social media channels, email newsletters, and program promotional materials. This optional consent is strictly voluntary and has no effect on enrollment status, program access, or certificate eligibility.

Aggregated and anonymized data. Genixis reserves the right to reference aggregate program outcomes — for example, "100% of students completed a deployed AI project" — without individual identification and without requiring separate consent.

5. AI Tool Acknowledgment and Acceptable Use

The Camp curriculum involves hands-on use of artificial intelligence tools and platforms, including but not limited to OpenAI's API, Replit coding environments, and other AI-assisted development tools. By enrolling, the Parent or Guardian acknowledges and agrees to the following.

  • The student will interact with AI-generated outputs and is responsible for reviewing those outputs critically and using them appropriately.
  • AI tools used in this program are provided for educational purposes. Students are expected to use them in accordance with program guidelines and applicable terms of service of each platform.
  • Genixis provides students with a shared API access key for program use only. Students may not use Genixis-provided API credentials outside of program activities, share credentials with third parties, or use credentials after the program concludes.
  • Students are prohibited from using AI tools to generate harmful, offensive, discriminatory, or illegal content at any time during the program.
  • Genixis is not responsible for AI-generated outputs that the student may encounter during program use. Parents are encouraged to discuss responsible AI use with their student before camp begins.
  • Genixis does not guarantee any specific outcomes from AI tool use, including the performance, accuracy, or quality of AI-generated results.
Note on third-party platforms: Use of platforms such as OpenAI and Replit is subject to each platform's own terms of service and privacy policy. Genixis is not responsible for those platforms' data practices. Links to applicable terms are provided in the student onboarding materials.
6. Technology and Equipment Requirements

The Camp is conducted entirely online. Students are responsible for having access to a functioning personal laptop or desktop computer with a webcam, microphone, and reliable internet connection. Genixis does not provide hardware, software licenses unrelated to program tools, or internet access.

Genixis is not liable for any inability to participate resulting from technical failures on the student's end, including but not limited to internet outages, hardware malfunctions, software incompatibilities, or power failures. Students who experience technical difficulties are encouraged to contact the Teaching Assistant during session hours for troubleshooting guidance.

7. Intellectual Property

Student work. Original project work created independently by the student during the Camp — including the student's capstone application, code, and project documentation — belongs to the student. Genixis does not claim ownership of individually created student work.

Curriculum and program materials. All Camp curriculum, instructional videos, scripts, Replit starter templates, lesson plans, rubrics, and other materials created by or on behalf of Genixis are the exclusive intellectual property of Genixis Consulting, LLC. Students and parents may not reproduce, distribute, sell, or publicly share program materials without the prior written consent of Genixis.

License to Genixis. By participating in the Camp, the student grants Genixis a non-exclusive, royalty-free license to reference, display, and describe the student's completed capstone project — including project title and a brief description — for educational demonstration and program promotion purposes, subject to the marketing consent provisions in Section 4.

8. Assumption of Risk

The Parent or Guardian understands that participation in an online educational program involves inherent risks, including but not limited to exposure to online platforms, peer interactions in a virtual community setting, and use of third-party AI tools that may produce unexpected outputs.

The Parent or Guardian voluntarily assumes all risks associated with the student's participation in the Camp, including risks that may arise from the student's use of AI tools, online communications with instructors and peers, and the student's own project work and deployment activities.

9. Liability Waiver and Release

To the fullest extent permitted by applicable law, the Parent or Guardian, on behalf of themselves and the enrolled student, hereby waives, releases, and discharges Genixis Consulting, LLC, its members, officers, employees, contractors, and agents (collectively, "Released Parties") from any and all claims, demands, damages, actions, or causes of action, whether known or unknown, arising out of or in any way related to the student's participation in the Camp, including but not limited to:

  • any injury, loss, or damage arising from the student's use of AI tools or third-party platforms during the program;
  • any technical failures, interruptions, or outages affecting the student's ability to participate;
  • any content the student may encounter in the virtual community or during live sessions;
  • any outcomes or results — or lack thereof — from the student's project work;
  • any conduct of other enrolled students or program participants;
  • any decisions made by Genixis in connection with program administration, including attendance decisions, conduct warnings, or removal from the program.

This release does not apply to claims arising from Genixis's gross negligence, willful misconduct, or fraud.

Important: This waiver is a legally binding document. By completing enrollment you are agreeing to waive certain legal rights on behalf of yourself and your student. If you have questions about the scope of this waiver, you are encouraged to consult with a licensed attorney before completing enrollment.
10. Student Conduct

Students are expected to engage respectfully with instructors, the Teaching Assistant, and fellow students at all times. Conduct that may result in removal from the program includes harassment or bullying of any participant, sharing inappropriate or harmful content in any program channel, unauthorized sharing of another student's work, repeated disruptive behavior after a formal warning, and any conduct that violates applicable law.

Genixis reserves the right to remove a student from the program for conduct violations without prior warning in severe cases. No refund is issued for removal due to conduct violations, regardless of timing. Please see the Genixis Refund Policy for full details.

11. Indemnification

The Parent or Guardian agrees to indemnify, defend, and hold harmless the Released Parties from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the student's breach of any program conduct policy or these terms; (b) the student's misuse of AI tools or platform credentials; or (c) any false or inaccurate information provided by the Parent or Guardian during enrollment.

12. Privacy and Data

Genixis collects personal information from parents and students during the enrollment process for the purpose of operating the Camp. This includes contact information, payment information, session preferences, and student grade level. Genixis does not sell personal information to third parties.

For full details on how Genixis collects, stores, and uses personal information, please review the Genixis Privacy Policy. By enrolling, the Parent or Guardian confirms they have reviewed the Privacy Policy and consent to Genixis's data practices as described therein.

13. Modifications and Cancellation

Genixis reserves the right to modify program content, scheduling, instructors, or tools as reasonably necessary to deliver a high-quality educational experience. Genixis will notify enrolled families of any material changes via email with reasonable advance notice.

If Genixis cancels a session in its entirety before it begins due to circumstances within its control, enrolled families will receive a full refund. If a session is cancelled after it begins due to circumstances beyond Genixis's reasonable control — including but not limited to illness, platform outages, or force majeure events — Genixis will make reasonable efforts to reschedule or provide equivalent make-up programming. Refunds in such cases are governed by the Genixis Refund Policy.

The minimum enrollment threshold for each session is 20 students. If the minimum threshold is not met by June 10, 2026 for Session 1 or July 1, 2026 for Session 2, Genixis reserves the right to cancel the affected session and issue full refunds to all enrolled families.

14. Entire Agreement and Severability

This Waiver, together with the Genixis Refund Policy and Privacy Policy, constitutes the entire agreement between the Parent or Guardian and Genixis with respect to the subject matter herein. It supersedes all prior communications, representations, or understandings related to participation terms and consent.

If any provision of this Waiver is found to be unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
